Please read these terms of use carefully. By accessing or using any MODERN LAW website or mobile application (or any content, product, service or feature available through the website or mobile application, including the integrated viewer) (collectively, the “Site”),

you agree to comply with and be bound by the terms described herein and all terms, policies and guidelines incorporated by reference, as well as any additional terms and restrictions presented in connection with specific content or a specific product, service or feature (collectively, the “site terms”). If you do not agree to all of these terms, do not use the Site.

 These Site Terms are not intended to alter the terms or conditions of any content license agreement that are otherwise “its subsidiaries or affiliates,” and to the extent of any conflict, the terms of your content license agreement shall prevail. By using the Site, you represent and warrant that you are 18 years of age or older and that you can legally accept these Site Terms. If you are using the Site on behalf of any entity, you further represent and warrant that you are authorized to accept these Site Terms on behalf of such entity, and that such entity agrees to indemnify MODERN LAW for violations of these Site Terms.

Ownership of the Site and its contents

The Site is owned by MODERN LAW Unless otherwise noted, all content appearing or displayed on the Site, including but not limited to text, graphics, data, photographic images, moving images, sound, illustrations, software, and the selection and arrangement thereof (“www.modernlawonline.com Content), is owned by MODERN LAW, its licensors or its third party image partners. All elements of the Site, including MODERN LAW Content, are protected by copyright, trade dress, moral rights, trademark and other laws relating to the protection of intellectual property.

Use of the Site

The Site and MODERN LAW Content are intended for MODERN LAW customers. You may not use the Site or MODERN LAW Content for any purpose unrelated to your business with MODERN LAW. You are specifically prohibited from: (a) downloading, copying or retransmitting part or all of the Site or MODERN LAW Content without, or in violation of, a written license or agreement with MODERN LAW ; (b) using any data mining, robots or similar data gathering or extraction methods; (c) manipulating or displaying the Site or MODERN LAW Content through the use of framing or similar navigational technology; (d) register, subscribe, unsubscribe or attempt to register, subscribe or unsubscribe any party for any MODERN LAW product or service if not expressly authorized by such party to do so; (e) reverse engineer, alter or modify any part of the Site or MODERN LAW Content; 

(f) circumvent, disable or otherwise interfere with security-related features of the Site or any resource, service or system network connected to or accessible through the Site; (g) sell, license, lease or otherwise market the Site or MODERN LAW Content without the specific written authorization of MODERN LAW; and (h) use the Site or MODERN LAW Content other than for its intended purpose. 

Such unauthorized use may also violate applicable laws, including but not limited to copyright and trademark laws, the laws of privacy and publicity, and applicable communications regulations and statutes. You represent and warrant that you will comply with all applicable laws and regulations, including but not limited to those relating to the Internet, data, e-mail, privacy and the transmission of technical data exported from Mexico or the country in which you reside.

 Copyright Infringement Policy

In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable laws, MODERN LAW has adopted a policy of terminating, in appropriate circumstances and at MODERN LAW’s sole discretion, account holders who infringe the intellectual property rights of MODERN LAW or any third party.

 Copyright Complaints

 If you believe that any material on the Site infringes any copyright that you own or control, you may submit a notice of such infringement to our Designated Agent as set forth below:

Trademarks

 MODERN LAW’s trademarks, the MODERN LAW logo and any other product or service names or slogans contained on the Site are trademarks of MODERN LAW and its suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of MODERN LAW or the applicable trademark owner. You may not use any meta tags or any other “hidden text” utilizing “MODERN LAW” or any other name, trademark or product or service name of MODERN LAW without our prior written permission. In addition, the look and feel of the Site, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark and/or trade dress of MODERN LAW and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned on the Site are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer and supplier or otherwise, does not constitute or imply endorsement, sponsorship or recommendation by us.

Links

You may not use a MODERN LAW logo or other proprietary graphic of MODERN LAW to link to the Site without MODERN LAW’s express written permission. 

In addition, you may not frame any MODERN LAW trademark, logo or other proprietary information, including MODERN LAW Content, without MODERN LAW’s express written consent.

MODERN LAW makes no claim or representation regarding, and accepts no responsibility for, directly or indirectly, the quality, content, nature or reliability of third party websites accessible by hyperlink from the Site, or websites linking to the Site. Such sites are not under the control of MODERN LAW and MODERN LAW is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. MODERN LAW is providing these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement or adoption by MODERN LAW of any site or any information contained therein. When you leave the Site, you should be aware that our terms and policies no longer apply. You should review the applicable terms and policies, including privacy and data collection practices, of any site you navigate to from the Site.

Your participation, correspondence or business dealings with any third party found on or through the Site, with respect to payment and delivery of goods or related services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that MODERN LAW shall not be responsible or liable for any loss, damage or other matters of any sort incurred as the result of any such dealings.

 Embedded Viewer

 Where enabled, you may embed MODERN LAW Content on a website, blog or social media platform using the embedded viewer (the “Embedded Viewer”). Not all MODERN LAW Content will be available for embedded use and availability may change without notice. MODERN LAW reserves the right, in its sole discretion, to remove MODERN LAW Content from the Embedded Viewer. Upon your request, you agree to take immediate action to discontinue use of the integrated viewer and/or MODERN LAW Content. You may only use embedded MODERN LAW Content for editorial purposes (i.e., related to events that are newsworthy or in the public interest). MODERN LAW Embedded Content may not be used: (a) for any commercial purpose (e.g., in advertising, promotions or merchandising) or to suggest endorsement or sponsorship; (b) in violation of any stated restrictions; (c) in a defamatory, pornographic or illegal manner; or (d) outside the context of the embedded viewer.

MODERN LAW (or third parties acting on its behalf) may collect data related to your use of the Integrated Viewer and the Integrated MODERN LAW Content, and reserves the right to place advertisements on the Integrated Viewer or to monetize your use of the Integrated Viewer without any compensation to you.

Forums and other interactive services or areas

The Site may include discussion forums or other interactive areas or services, including blogs, chat rooms, bulletin boards, message boards, online hosting or storage services, or other areas or services in which you or third parties create, post or store any content, messages, comments, materials or other items on the Site (“Interactive Areas”). You are solely responsible for your use of such Interactive Areas and use them at your own risk. By using any Interactive Area, you agree not to post, upload, transmit, distribute, store, create or publish through the Site any of the following:

Any message, comment, data, information, text, text, music, sound, photos, graphics, code or other material (“User Content”) that is unlawful, libelous, defamatory, defamatory, obscene, pornographic, harmful to minors, indecent, lewd, lascivious, suggestive. harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;

User Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party or otherwise create liability or violate any local, state, national or international law, including, without limitation, the regulations of Mexico;

User Content that may infringe any patent, trademark, trade secret, copyright or other intellectual property or contractual right of any party. By posting any User Content, you represent and warrant that you have the legal right to transmit, distribute and reproduce such User Content;

User Content that impersonates any person or entity or misrepresents your affiliation with a person or entity;

Unsolicited promotions, political campaigns, advertising, junk mail, spam, chain letters, pyramid schemes or solicitations;

Private information of third parties, including, but not limited to, addresses, telephone numbers, email addresses, Social Security numbers, and credit card numbers;

Viruses, corrupted data or other harmful, disruptive or destructive files; and User Content that, in MODERN LAW’s sole judgment, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Site, or which adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all capital letters, or flooding of continuous repetitive text postings), or which may expose MODERN LAW or its users to any harm or liability of any kind.

You further agree not to remove or review any User Content posted by third parties. MODERN LAW assumes no responsibility and assumes no liability for any User Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto, nor is MODERN LAW responsible for any mistakes, defamation, libel, slander, slander, omissions, falsehoods, obscenity, pornography or profanity you may encounter. Use of the interactive areas is at your own risk. As a provider of interactive services, MODERN LAW is not responsible for any statements, representations or User Content provided by its users in any public forum, personal home page or other interactive area. Although MODERN LAW has no obligation to screen, edit or monitor any User Content posted in any Interactive Area, MODERN LAW reserves the right, and has absolute discretion, to remove, screen or edit any User Content posted or stored on the Site at any time and for any reason without prior notice. You are solely responsible for backing up and replacing any User Content you post or store on the Site at your sole cost and expense. Any use of the Interactive Areas or other portions of the Site in violation of the foregoing violates these Site Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site. You acknowledge and agree that MODERN LAW may access, use or disclose any information about you or your use of this Site, including, without limitation, any User Content to comply with the law or any legal process; to protect and defend the rights or property of MODERN LAW; or to protect the safety of our company, employees, customers or the public. If you post User Content on the Site, unless we indicate otherwise, you grant MODERN LAW and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate and create derivative works from, distribute, perform and display such User Content throughout the world in any media. You grant MODERN LAW and its affiliates and sublicensees the right to use the name that you submit in connection with such content if they choose. You represent and warrant that (a) you own and control all rights to the User Content that you post or have the right to post such User Content on the Site; (b) the User Content is accurate and not misleading; and (c) use and posting of the User Content you provide does not violate these Site Terms and will not violate any rights of or cause injury to any person or entity.

 Registration Data and Account Security

In consideration of your use of the Site, you agree to: (a) provide accurate, current and complete information about yourself as prompted by any registration form on the Site (“Registration Data”); 

(b) maintain and promptly update the Registration Data and any other information you provide to the Company to keep it accurate, current and complete; (c) maintain the security of your password and identification; (d) notify MODERN LAW immediately of any unauthorized use of your account or other breach of security; (e) accept full responsibility for any and all activities that occur under your account; 

and (f) accept all risks of unauthorized access to Registration Data and any other information you provide to the Company.

Financial disclosures

MODERN LAW makes no representations or warranties of any kind regarding the accuracy or completeness of the content, information or opinions of third party websites or other third party information identified on the Site. Users visit these websites and use the information contained therein at their own risk.

 Method of Payment

Credit and debit cards you can pay with VISA, MASTERCARD, Discover Network and American Express credit cards from MODERN LAW This will notify us by email when you have made your payment. Upon notification, your payment will be validated within 48 hours to begin processing your order.

 Indemnification

You agree to defend, indemnify and hold harmless MODERN LAW , its subsidiaries, affiliates, licensors, employees, agents, third party information providers and independent contractors against any claims, damages, costs, liabilities and expenses (including, without limitation, reasonable attorneys’ fees) arising out of or related to any User Content you post, stores or transmits on or through the Site, your conduct, your use of or inability to use the Site, your breach or alleged breach of the Site Terms or of any representation or warranty contained herein, your unauthorized use of MODERN LAW Content, or your violation of any rights of another.

Disclaimer of Liability

THE SITE, INCLUDING WITHOUT LIMITATION THE EMBEDDED VIEWER AND MODERN LAW CONTENT, ARE PROVIDED “AS IS” AND MODERN LAW AND ITS DIRECTORS, EMPLOYEES, CONTENT PROVIDERS, AGENTS AND AFFILIATES EXCLUDE, TO THE FULLEST EXTENT PERMITTED BY EXPRESS OR IMPLIED WARRANTY, ANY IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. MODERN LAW SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF THE USE OF THE SITE OR MODERN LAWCONTENT, OR THE UNAVAILABILITY THEREOF, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS AND DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES. Limitation of Liability

IN NO EVENT SHALL MODERN LAW , ITS DIRECTORS, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE, THE SERVICES, THE MODERN LAW CONTENT OR THE MATERIALS CONTAINED ON OR ACCESSED THROUGH THE SITE, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM USER’S RELIANCE ON ANY INFORMATION OBTAINED FROM MODERN LAW, OR RESULTING FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR E-MAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, UNAUTHORIZED ACCESS TO MODERN LAW’S RECORDS, PROGRAMS OR SERVICES. IN NO EVENT SHALL MODERN LAW’S AGGREGATE LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF THE SITE OR RELATING TO ANY COMPENSATION YOU PAY, IF ANY, TO MODERN LAW FOR ACCESS TO OR USE OF THE SITE.

 Governing Law and Jurisdiction

 Any dispute relating in any way to your use of the Site or MODERN LAW Content shall be submitted to confidential arbitration in LOCATION, except that, to the extent you have violated or threatened to violate MODERN LAW’s intellectual property rights in any manner. MODERN LAW may seek injunctive or other appropriate relief in any state or federal court, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this provision shall be conducted by a single arbitrator under the then-current rules of the Mexican Arbitration Provision. 

The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to the Site Terms, whether through class arbitration proceedings or otherwise.

 Termination

Notwithstanding any of these Site Terms, MODERN LAW reserves the right, without notice and in its sole discretion, to terminate your account and/or block your use of the Site.

Other Provisions

Any waiver of any provision of the Site Terms will be effective only if in writing and signed by MODERN LAW. If any provision of these Site Terms is determined to be unenforceable, to the extent possible, this shall not affect any other provision, and each such provision shall remain in full force and effect. Any rights not expressly granted herein are reserved.

 Changes to Site Terms

MODERN LAW reserves the right to change any of the terms and conditions contained in the Site Terms or any policy or guideline of the Site, at any time and at its sole discretion. When we make changes, we will revise the “last updated” date at the top of the Site Terms. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site following the posting of changes will constitute your acceptance of those changes. We encourage you to review the Site Terms each time you visit one of our websites.
